Terms of Service

The contract between AYBARION SOFTWARE LTD and the businesses that use AYBARION TRADE: who may use it, plans and payment, renewal and cancellation, the member marketplace, data licences, liability and the law that applies.

Version 1.0 · Effective Last updated

Who we are and what these terms cover

AYBARION TRADE (the "service") is provided at aybarion.com by AYBARION SOFTWARE LTD, a private company limited by shares registered in England and Wales under company number 17473674, registered office 61 Bridge Street, Kington, HR5 3DJ, United Kingdom ("AYBARION", "we", "us"). Full company details are in the legal notice.

These terms are a contract between us and the business that opens an account (the "member", "you"). They apply to every plan, including the free Demo plan, and to the people the member authorises to use its account ("users").

  • If you sign a separate order form with us (for example for Enterprise), the order form applies together with these terms. Where they differ, the order form wins.
  • Our Privacy Policy and Cookie Policy explain how we handle personal data and browser storage.
  • These terms are written in English, and the English version is the binding one. Translations are provided for convenience.

For businesses only

The service is offered only to businesses. By creating an account or subscribing, you confirm that you act for a company, partnership, sole trader business or other organisation, for purposes connected with its trade, business or profession, and that you are allowed to accept these terms for it.

  • Consumers, meaning individuals acting for purposes outside their trade, business or profession, may not open an account or subscribe.
  • Because the service is supplied only to businesses, consumer protection rules such as the 14-day cancellation right under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 do not apply. Your cancellation rights are the ones in these terms.
  • Users must be at least 18 years old.

Accounts, company verification and team roles

  • Give accurate account and company details and keep them up to date. You are responsible for everything done under your account.
  • A company can ask to be verified. We check the documents you upload and, if you give a Legal Entity Identifier (LEI), the public GLEIF record. "Verified" means we checked those documents; it is not a recommendation or a guarantee of the company.
  • Team roles are owner, admin, member and viewer. Admins invite and remove users and change roles. Viewers can read but not change records. Only an owner can request deletion of the company account.
  • Keep passwords and authenticator devices secure and do not share accounts. Multi-factor authentication (MFA) is required for sensitive actions. Tell us at once at security@aybarion.com if you suspect misuse.

Prices and taxes

The prices that apply are those shown on the pricing page and at checkout when you subscribe. Prices are in euro and include VAT: the amount shown is the total you pay, and no VAT or similar tax is added on top of it. Where VAT applies, the invoice shows the VAT included in the price.

Free trial of Professional

  • Each company can have one 7-day free trial of Professional. A payment card is needed to start it.
  • Nothing is charged during the trial. We remind you in the app before the trial ends.
  • If you cancel before the trial ends, nothing is charged. If you do not cancel, the subscription starts at the end of the trial and the first payment is taken then.

Payment

  • Card payments, subscriptions and invoices are handled by our payment provider Stripe. AYBARION never sees or stores full card numbers.
  • At checkout Stripe asks for your billing address and lets you add a VAT or tax ID. Invoices and receipts are available in Manage billing.
  • Fees are payable in advance for each monthly or yearly period. Fees already paid are not refunded, except where these terms or the law say otherwise.
  • We may change the price of a plan for future periods. We tell you at least 30 days before a new price applies to your next renewal, so you can cancel before it does.

Renewal, cancellation and plan changes

  • Automatic renewal: a Professional subscription renews automatically at the end of each month or year until it is cancelled.
  • Cancelling: an admin can cancel at any time in Manage billing. Cancellation takes effect at the end of the current paid period. Your company keeps access until then and is not charged again. There are no refunds or credits for the rest of a period you have already started.
  • After it ends: when a subscription ends, the company moves back to the Demo plan. Your account, listings and other records stay, within the Demo allowances.
  • Monthly or yearly: switching between monthly and yearly billing is not available in Manage billing. Write to support@aybarion.com, or cancel and subscribe again with the other period once the current one has ended.
  • Enterprise: moving to Enterprise is agreed in an order form with sales@aybarion.com. Enterprise terms, renewal and cancellation follow the order form.
  • Deleting the company account cancels a running subscription immediately; see "Suspension, termination and deletion" below.

Failed payments

  • If a renewal payment fails, Stripe tries the card again and we notify you in the app so you can update the card in Manage billing.
  • While Stripe retries, your company keeps access for up to 14 days after the end of the paid period.
  • If the payment still does not succeed, the subscription ends and the company moves back to the Demo plan. You can subscribe again at any time.

The member marketplace: AYBARION is not a party

Members can publish buy and sell listings, send offers and counter offers, agree orders, message each other, use deal rooms, negotiation workspaces and private exchanges, and request freight, finance and secured payment from partner members. Any contract for goods or services is made directly between the members concerned.

  • AYBARION is not a party to these contracts and does not act as buyer, seller, agent, broker, carrier, insurer, lender or guarantor.
  • We do not check or guarantee that goods exist, their quality, legality, safety or delivery, the accuracy of listings, or a member's ability to pay or perform.
  • Each member is responsible for its own customs, export control, sanctions, tax, product safety and labelling obligations.
  • Blind listings hide the publisher until an offer is accepted. Approvals in a deal room record the parties' own decisions.
  • Listings are ordered by the criteria the user chooses (for example newest or ending soon). Members cannot pay for a better position.

Secured payment (escrow), finance and freight partners

  • AYBARION never holds, transfers or releases money for trades between members, and does not issue invoices for them.
  • If members choose secured payment (escrow), the funds are held only by a licensed escrow or payment provider that is a verified member of the platform and has chosen to act as escrow partner. The provider's own contract, licence conditions and fees apply.
  • The platform records the workflow so that all parties see the same status: buyer request, seller consent, partner acceptance and funding instructions, funding confirmed by the partner, release or refund, and disputes. Release and refund decisions are taken by the partner.
  • Trade finance and insurance offers come from partner members, and a finance case is shared with partners only with your consent. Freight quotes come from logistics members, and the carriage contract is between shipper and provider. AYBARION does not lend, insure, carry goods or give advice.

Content rules and the contact data rule

You are responsible for what your users publish or upload: listings, offers, messages, documents, reviews, CRM notes and outreach texts. It must be lawful, accurate and not misleading. Do not publish or trade:

  • prohibited, sanctioned, counterfeit or stolen goods, or goods or services that infringe intellectual property rights;
  • controlled or dual use items without the required licences, or deals with sanctioned parties or destinations;
  • false company information, fake reviews, deceptive prices, or documents you may not share;
  • malware, unlawful personal data about other people, or defamatory, discriminatory or harassing content.

Contact data rule: e-mail addresses and phone numbers are not allowed in listings, offers, messages, reviews, deal rooms or CRM records, and the server refuses them. Members talk through platform conversations and exchange contact details only when both sides agree.

Files: uploads are checked for their real file type (PDF, JPG, PNG, WebP, XLSX or DOCX, depending on where you upload) and scanned for malware on our own server. Each file can be up to 10 MB, within your plan's storage allowance. By uploading you confirm that you may share the file.

Outreach e-mails (not active)

Sending outreach e-mails is switched off. Members can prepare recipient lists and campaigns, but nothing is sent. If we switch sending on, we will tell members first and these rules apply:

  • Outreach is only for contacts the member provides from its own business relationships. The member must confirm for each contact that it does not come from AYBARION data.
  • The member is the controller of its recipients' data and is responsible for a lawful basis for each recipient and for the e-mail marketing rules that apply (for example UK GDPR and the Privacy and Electronic Communications Regulations, the EU GDPR and ePrivacy rules, or Turkish Law No. 6563). AYBARION processes the recipient data for the member as its processor.
  • Every message names the member as sender, uses the member's verified reply address, includes its postal address and a one click unsubscribe link. Unsubscribes, bounces and complaints are applied automatically and cannot be overridden.
  • Each campaign needs approval by a second admin of the member, daily limits apply, and we may pause a member's outreach when bounce or complaint rates are too high.

Moderation, reports and complaints

  • Anyone can report a listing, offer, member or message with the report function. Reports are reviewed by a platform operator. Messages in a reported conversation become readable to operators for that review.
  • An operator never decides on reports, listings or requests of their own company. Verification and other sensitive decisions follow a four eyes rule: the person who asks for something cannot also approve it. Decisions are recorded in an audit log.
  • We may remove content, restrict listings or suspend a member that breaks these terms or the law. We tell the member what is affected and why, unless the law does not allow it.
  • You can ask us to review a decision, or make any other complaint, by replying to the notification or writing to info@aybarion.com.

Data, sources and licences; no advice

  • Market, trade and company intelligence is built from official and open datasets under each source's licence. The sources and their attribution are listed in the legal notice and in the Data Passport of each value.
  • Data is provided "as is". It comes from public sources that can be incomplete, late or later revised by their publishers. We do not guarantee that it is complete, accurate or current.
  • Nothing on the platform is legal, tax, customs, sanctions, investment or financial advice. Scores and indices are explainable comparisons, not probabilities, forecasts or guarantees. Check the source, and take professional advice where needed, before you act.
  • Sanctions screening shows a potential match that needs human review. A name similarity is never a legal determination, and no result only means that no listed name reached the threshold in the list versions loaded.
  • You may use the data for your own internal business purposes within your plan. Do not resell or redistribute it beyond what your plan and the source licence allow, and keep the attribution the source requires.

Acceptable use and security

  • Do not try to access other members' data, probe or bypass security controls, overload the service, or scrape it outside the interfaces and limits we provide.
  • Do not use the service for spam, fraud, sanctions evasion or any other unlawful purpose.
  • Rate limits and plan allowances apply. API keys belong to your company and must be kept secret.
  • Report vulnerabilities to security@aybarion.com; see the security page.

Intellectual property and your content

  • The service, its software, design and the AYBARION names and logos belong to us or our licensors. You get a non exclusive, non transferable right to use the service during your subscription under these terms.
  • Data from third party sources stays under the licence of its source.
  • Content you upload or publish stays yours. You allow us to store, copy, display and process it as needed to run the service for you, to show it to the members you share it with, to keep backups and to moderate it.
  • If you send us feedback or ideas, we may use them without obligation to you.

Personal data we process for you

For personal data your users put into the service about other people (for example CRM records, outreach recipient lists, message content and uploaded documents), you are the controller and we act as your processor. For this data we:

  • process it only to provide the service and on your documented instructions, which are these terms and your use of the service settings;
  • make sure the people who process it are bound by confidentiality, and keep the security measures described in the Privacy Policy;
  • use the sub processors listed in the Privacy Policy, under written terms that protect the data in the same way, and update that list before a new sub processor starts processing your data; you may object by ending the contract;
  • help you answer requests from data subjects and meet your security, breach notification and impact assessment duties, as far as we reasonably can;
  • tell you without undue delay after we become aware of a personal data breach affecting your data;
  • delete the data when your account is deleted (the export function lets you take a copy first), except where the law requires us to keep it; and
  • give you the information needed to show that these duties are met.

You are responsible for having a lawful basis for the personal data you put into the service and for telling the people concerned where the law requires it.

Availability and changes to the service

  • We aim to keep the service available and working, but we provide it on a best effort basis. We do not promise uninterrupted or error free operation unless an Enterprise order form sets a service level.
  • We may need maintenance windows, and we show incidents on the status page.
  • We develop the service and may add, change or remove features. If a change materially reduces what a paid plan includes, we tell you at least 30 days in advance and you may cancel before it applies.
  • We keep backups, but you should keep your own copies of important records (Settings lets you download your data).

Liability

  • Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded under English law.
  • Subject to that, we are not liable for loss of profits, revenue, business, contracts, goodwill or anticipated savings, for loss or corruption of data, or for any indirect or consequential loss.
  • We are not liable for the conduct of members or partners, for transactions between them, or for decisions taken on the basis of data on the platform.
  • Subject to the first point, our total liability arising out of or in connection with these terms, whether in contract, tort (including negligence) or otherwise, is limited to the fees your company paid us in the 12 months before the event that gave rise to the claim, or GBP 100 if that is higher.
  • We are not responsible for delays or failures caused by events outside our reasonable control.
  • You are responsible for claims by third parties that arise from your content, your outreach or your breach of these terms, and you will reimburse our reasonable costs of dealing with them.

Suspension, termination and deletion

  • You can stop using the service at any time. Cancel a subscription in Manage billing; it ends at the end of the paid period.
  • The account owner can request deletion of the company account in Settings › Privacy & data. A platform operator completes it within 30 days once open orders and secured payments are settled. A running subscription is cancelled immediately and fees already paid are not refunded. What is deleted and what is kept is explained in the Privacy Policy.
  • We may suspend or end access for serious or repeated breaches, unpaid fees, unlawful use or security risks. We give the reasons unless the law does not allow it.
  • We may end the service for your company for any other reason with at least 30 days' notice. In that case we refund fees you paid for the period after the end date.
  • Terms that by their nature continue after the end (for example liability, data licences and governing law) stay in force.

Changes to these terms

  • Each version has a version number and dates at the top of this page, and we keep a record of which version each user accepted.
  • For a material change we give at least 30 days' notice by e-mail to the account owner and in the app before it applies. Users are asked to accept the new version in the app.
  • If you do not agree with a change, you can cancel before it applies. Changes that are not material, or that the law requires on a shorter timescale, can apply sooner.

General

  • These terms, together with any order form and the documents they refer to, are the whole agreement between us about the service.
  • You may not transfer your account or these terms without our consent. We may transfer them to a company that takes over our business, and we will tell you.
  • If a court finds part of these terms invalid, the rest stays in force. Not enforcing a right straight away does not mean we give it up.
  • No one other than you and us has rights under these terms under the Contracts (Rights of Third Parties) Act 1999.

Governing law and courts

These terms and any dispute or claim about them, including non contractual disputes or claims, are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction.
